Your Responsibilities as a Client

Payment and Billing

Project Ownership and Rights

Upon receipt of final payment, you receive ownership of the custom design work and final deliverables created specifically for your project. This includes the visual design, custom code written for your site, and the completed website or product we deliver.

What We Retain

We retain rights to:

  • Pre-existing code libraries, frameworks, and development tools we use
  • Templates, design systems, or starter files we've created
  • General methodologies and techniques applied to your project
  • The right to display your completed project in our portfolio
  • Any derivative works or improvements to our processes learned through your project

Third-Party Elements

Your website may include third-party components such as:

  • Licensed fonts, stock photos, or premium plugins
  • Open-source software and libraries
  • Platform-specific themes or extensions

These elements remain subject to their original licenses. You are responsible for maintaining any required licenses for third-party components.

Portfolio Rights

Unless specifically agreed otherwise in writing, we reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials. If you prefer privacy, please discuss this with us before project commencement.

Revisions and Scope Changes

Your project agreement specifies the number of revision rounds included. We're committed to getting your project right, but scope management ensures fair pricing and timelines.

Additional revisions beyond the agreed amount may incur extra charges. Major changes to project scope, functionality, or objectives after work has begun will require a new proposal and may affect pricing and timelines.

We differentiate between revisions (refinements to existing work within scope) and scope changes (new features or fundamental direction changes).

Timelines and Deadlines

We provide estimated timelines based on project complexity and our current workload. While we strive to meet all deadlines, timelines are estimates rather than guarantees.

Factors that may affect timelines include:

  • Delays in receiving client materials, feedback, or approvals
  • Scope changes or additional feature requests
  • Technical challenges or third-party service issues
  • Force majeure events beyond our reasonable control

We commit to communicating proactively about any anticipated delays and will work with you to minimize their impact on your business.

What You Can't Do

To protect our services and other users, you agree not to:

If You Terminate

  • You remain responsible for payment of all work completed to date
  • Deposits and payments for completed work are non-refundable
  • We will provide completed work elements upon receipt of payment
  • Partially completed work remains our property until paid for

If We Terminate

  • We may terminate if payment terms are violated
  • We may terminate if you violate these terms
  • We will provide completed work and refund any unearned deposits
  • You remain responsible for work completed through termination date

Privacy and Data

Governing Law and Disputes

Any disputes arising from these terms or our services must be resolved in the state or federal courts located in Utah. You consent to the exclusive jurisdiction of these courts.

Any legal claims must be filed within one year after the cause of action arises. Claims filed after this period are permanently barred.

Before initiating legal action, both parties agree to attempt good-faith negotiation to resolve disputes.

General Provisions

Entire Agreement

These terms, together with any project-specific agreements and our Privacy Policy, constitute the entire agreement between you and Tanglefoot Web Design.

Severability

If any provision of these terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if that's not possible, removed. The remaining provisions continue in full effect.

No Waiver

Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Assignment

We may assign our rights and obligations under these terms to another party. You may not assign these terms without our written consent.

Electronic Communications

You consent to receive communications from us electronically via email or through our website. Electronic communications satisfy any legal requirement for written communication.
